4. Prozessbeschreibung - Rollenverteilung
Unternehmenstransaktionen führen i.d.R. zu hohen Investitionsvolumina und langfristiger Kapitalbindung, in jedem Fall aber zu einer Veränderung der Anteilsstruktur, die durch den Stiftungsrat zu genehmigen ist. Eine dezidierte Planung und Prüfung von potenziellen Transaktionen sowie die anschließende sorgsame Integration des Geschäftes in die Dussmann Group sind folglich zwingend notwendig.
Der M&A-Prozess der Dussmann Gruppe wird nachfolgend erläutert. Beginn und Beendigung des M&A-Verfahrens erfolgen grundsätzlich im Einvernehmen von Geschäftsbereich und M&A Bereich. Bei Meinungsverschiedenheiten entscheidet der Vorstand. Eine schematische Darstellung des M&A-Verfahrens sowie eine detaillierte Aufstellung der einzubindenden Abteilungen je M&A Phase sind in Anlage 1 und 2 dargestellt.
